Terms of Service

Please read these Terms of Service ("Terms") carefully before using the OrderSync platform ("Service") operated by Emad Adwan ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
1. Description of Service
OrderSync is a SaaS platform that automates the synchronisation of restaurant orders received through third-party delivery platforms (Careem Now, Talabat) into the Loyverse POS system. The Service is intended for use by restaurant businesses and food operators operating in the UAE and wider MENA region.
2. Accounts & Registration
- You must provide accurate and complete information during registration.
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately at me@emadadwan.info of any unauthorised use of your account.
- Each account is for a single business entity. You may invite team members under your account.
3. Subscriptions & Billing
Free Trial: New accounts receive a 14-day free trial with full access to the features of your selected plan. No credit card is required to start. After the trial, continued use requires a paid subscription.
Billing Cycle: Subscriptions are billed monthly or annually, depending on the plan you select. Fees are charged in advance at the beginning of each billing period.
Plan Changes: You may upgrade or downgrade your plan at any time from your dashboard. Upgrades take effect immediately and are prorated. Downgrades take effect at the next billing cycle.
No Refunds: All fees are non-refundable except as required by applicable law. If you cancel, you will continue to have access to the Service until the end of your current billing period.
Order Limits: Exceeding your plan's monthly order limit will not immediately suspend service. We will notify you and request a plan upgrade. Sustained overages beyond 30 days may result in account suspension.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations.
- Attempt to gain unauthorised access to any other tenant's data or our systems.
- Transmit harmful, fraudulent, or misleading data through the Service.
- Reverse engineer, decompile, or disassemble any part of the platform.
- Use the Service for any purpose other than legitimate restaurant order management.
- Resell or sublicense access to the Service without written permission.
5. Third-Party Integrations
The Service connects to Careem Now, Talabat, and Loyverse POS via their respective APIs. Your use of these third-party platforms is governed by their own terms of service and privacy policies. We are not responsible for any changes, disruptions, or termination of these third-party services. You are responsible for ensuring your use of their APIs complies with their terms.
6. Intellectual Property
The Service, including its design, code, features, and content, is the exclusive property of Emad Adwan / OrderSync. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription period.
Your business data (orders, product mappings, etc.) remains your property at all times.
7. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted availability. The Service may occasionally be unavailable due to scheduled maintenance, third-party outages, or force majeure events. We will communicate planned downtime in advance where possible.
8. Limitation of Liability
To the maximum extent permitted by applicable law, OrderSync and its operator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of orders, or data loss arising from your use of or inability to use the Service.
Our total liability to you for any claims arising from these Terms shall not exceed the total fees paid by you to us in the three months preceding the claim.
9. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
10. Termination
You may cancel your account at any time from your dashboard settings. We reserve the right to suspend or terminate your account immediately, without prior notice, if you breach these Terms. Upon termination, your access to the Service will cease. Data deletion is governed by our Privacy Policy.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates (UAE). Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of the UAE.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or via a notice in your dashboard at least 14 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
